Part 1: SEC Annual Filing Requirements (2025) 

General Information Sheet (GIS) 

  • Who files? All corporations and partnerships 
  • Deadline: Within 30 calendar days after the Annual Stockholders’ or Members’ Meeting 

Audited Financial Statements (AFS) 

  • Who files? All corporations and partnerships 
  • Deadline: Within 120 calendar days after fiscal year-end 
  • Audit Requirement: 
  • SEC-accredited CPAs required for: 
  • Publicly listed companies 
  • Public companies 
  • Financing/lending firms 
  • Foundations 
  • Non-accredited CPAs allowed for: 
  • Micro and small enterprises without public accountability 
  • Provided the auditor is BOA-accredited 

Important Notes: 

  • EFAST filing is mandatory under SEC Memorandum Circular No. 1, Series of 2023 
  • ₱1,000/day late penalty for overdue AFS or GIS

Do I need to file if my company is inactive or has no income? 
Yes. File “no operations” reports with both SEC and BIR to avoid penalties.
